COMMUNITY BENEFIT AGREEMENT

THIS AGREEMENT is entered into between Syntropic Development LLC ("Developer") and the Board of Supervisors of Polk County, OR ("County"), on behalf of the residents of the Willow Creek Campus project area, comprising approximately 4,200 households across 320 acres.

§ 1RECITALS
WHEREAS Developer intends to construct and operate a hyperscale data center on theWillow Creek Campus parcel; and WHEREAS the County has determined that approval is conditioned on enforceable community benefits; NOW, THEREFORE, the parties agree as follows.
§ 2TERM
This Agreement shall be effective upon the County's grant of rezoning and shall remain in force for a period of twenty (20) years from the date of commercial operation, with automatic renewal absent material breach.
§ 3.1LOCAL HIRING COMMITMENT
Developer shall hire no less than 55% of permanent operations positions from residents of Polk County or contiguous counties, verified annually by a third-party auditor. Shortfalls trigger a liquidated-damages payment of $82,500/job/year into the Community Reinvestment Fund.
§ 4.2BROADBAND SUBSIDY
Developer shall fund a residential broadband subsidy of $120 per household per year for ten (10) years, payable as a direct credit on the monthly service invoice for any household within the Willow Creek Campus service area (estimated 4,200 eligible households; annual obligation $504,000).
§ 4.3ENERGY BILL CREDIT
An energy bill credit of $80 per household per year shall be applied to all residential utility accounts within the project's load zone, increasing annually with CPI not to exceed 3%.
§ 5.1SCHOOL DISTRICT REVENUE SHARE
Developer shall remit 6% of gross facility revenue, quarterly, to the Polk County School District. Funds are restricted to teacher compensation, STEM facilities, and resident scholarships, prioritized per the published Resident Priorities Vote.
§ 6.1PUBLIC PARKS GRANT
A one-time grant of $4M shall be paid to the County Parks Department upon issuance of the Certificate of Occupancy, restricted to acquisition, construction, and maintenance of new public open space within five (5) miles of the project boundary.
§ 6.2WATER CONSERVATION FUND
Developer shall establish a $2M Watershed Restoration Fund administered by the County Conservation District for the benefit of the local watershed and aquifer.
§ 7.1MUNICIPAL PROPERTY TAX SHARE
The County shall retain 18% of the project's annual ad valorem property tax assessment for unrestricted municipal use, with the remainder allocated per state statute.
§ 8.2COOLING SYSTEM RESTRICTION
Developer shall operate exclusively a CLOSED-LOOP cooling system. Any conversion requires County re-approval and reopening of this Agreement.
§ 8.3SETBACKS & VISUAL SCREENING
Building structures shall maintain a minimum setback of 150 ft from all property lines, with continuous vegetative screening at no less than 50% density installed prior to commissioning.
§ 8.4NOISE MITIGATION
Perimeter noise attenuation shall be engineered to achieve 60% of the maximum mitigation specified in Exhibit C, with annual sound-level testing by an independent acoustic engineer.
§ 9AGGREGATE CONSIDERATION
Aggregate annual consideration to the community is estimated at $1,440,600/yr in recurring benefits and $6,000,000 in one-time grants, totaling approximately $343/household/year amortized.
§ 10ENFORCEMENT
This Agreement is recorded against the parcel and runs with the land. Material breach authorizes the County to suspend operating permits and to draw on the $6M Performance Bond posted under Exhibit D.
